Alena Cvernejová (Cernejová & Hrbek)

Alena Cernejová received her law degree from the Law Faculty of Comenius University in Bratislava in 1984. In the years 1984-1995 she worked as a research specialist in the Institute of State and Law of the Slovak Academy of Sciences where she defended her CSc (PhD equivalent) on competition law. In 1992 she was admitted by the Slovak Bar Association. During the years 1991 - 1995 Alena Cernejová participated in many seminars and internships abroad, including a course of comparative law at International Faculty of Comparative Law, Strasbourg, Postgraduate International Law of Trade Training Course at Asser College Europe, The Hague, courses in the Law of European Integration and the Legal Foundations of Market Economies at European University Institute of Academy of European Law, Florence, and a programme of work experience and academic study in law at Queen Mary & Westfield College, London and at leading law firms in London. In 1997 Alena Cernejová joined CERNEJOVÁ & HRBEK as a partner.

Her practice includes M&A, competition and securities. As a leader of the team, she advised foreign investors when entering the Slovak market on a number of M&A transactions, corporate restructuring and implementation of the greenfield project, including acquisition and management of real property. She has also advised foreign banks in debt financing deals and syndicated loans for Slovak borrowers and on appropriate security of loans. In addition, she focuses on competition law where she advises clients specially on notification of concentrations. Her extensive publication activities include regular contributions on Slovak law to the publications of series “Getting the Deal Through,” co-authorship of the changes on Slovak merger law in the publication “International Mergers - The Antitrust Process”, Sweet & Maxwell, 2002, co-authorship of the publications “Limited Liability Company”, Verlag Dashöfer, Prague 1996 and Bratislava 1998, “Joint Stock Company”, Verlag Dashöfer, Bratislava 1996 and “Commentary on the Slovak Commercial Code”, Iura Edition, Bratislava, regularly updated since 1995. Alena Cernejová also regularly contributes articles to the Banking Newsletters, published over the internet by International Law Office.
